The Firm provides highly-skilled legal representation to a broad range of clients: individuals, businesses, including local and international developers, as well as shopping centres, retailers, hotel operators and office tenants.
The Firms’ real estate practice includes: due diligence investigations, property acquisition and sale, commercial leasing, land use and zoning; advising borrowers, design and construction contracts under the FIDIC rules; construction financing and mortgage loans.
Acquisitions & Dispositions
We handle all aspects of acquisition, disposition, use and exchange transactions, ranging from individual property deals to large asset transfers to developing and negotiating leasing documentation (for both lessees and owners). We have experience in all aspects of properties, including undeveloped land, commercial office space, industrial buildings, hotels, residential projects and shopping centers.
The work on behalf of clients includes:
- drafting and negotiating purchase contracts, leases, concessions, site development agreements, restrictive covenant and easement agreements and related acquisition and development documents
- managing and overseeing closings
- dealing with terminations, assignments, subleases, renewals, and expansions
Development, Zoning & Land Use
We dealt with procedures and issues relating to zoning, site planning approvals, transferable development rights, environmental approvals, building permits, authorizations of occupancy, street and alley closings and other approvals and permits. We work closely with the firm’s clients to analyze applicable development requirements, prepare all necessary applications and present the proposals in meetings and public hearings, as necessary.
Construction
Our firm has a diversified construction practice involving structuring transactions, negotiating contracts, counseling and document preparation.
Examples of construction-related matters handled by the firm include:
- Preparation, review and negotiation of development, design, engineering, design/build, and construction contract documents;Review and negotiation of insurance coverage for participants in the construction process
- Preparation, settlement or litigation of claims arising from changes in scope of work, delay, disruption, acceleration, termination and other performance-related matters
- Claims against contractors and design professionals arising because of design errors or defective construction
Relevant Experience
- Representing the client in the acquisition of 69 hectares of land located in Giurgiu County for the purpose of developing a 145 million residential park project (consist of 750 houses); including comprehensive due diligence, consents and approvals relating to zoning, building permit, the drafting of all transactional documentation, drafting the agreements related to the development of project and assisting with the financing of the transaction
- Representing the client in drafting the management and operational agreement to be concluded with an Austrian based hotel operator; as well as assisting with the refinancing of the property
- Representing the client in the acquisition of an office building located in Constanta, extensive due diligence, drafting the sale-purchase agreement
- Assisting the client in negotiations of transactional documentation (including but not limited to construction contract and design agreement) for the erection of a factory for a FCM multinational company (food sector)
- Advising a group of German and Austrian private equity investors on the proposed acquisition of a 49 hectares of land situated in Constanta County for the purpose of development for the benefit of one of a large international energy company, including limited due diligence, drafting the memorandum of understanding and the investment agreement
